These Terms of Service ("Terms") constitute a legally binding agreement between you and Edudable ("Edudable", "we", "us", or "our") governing your access to and use of the Edudable website, applications, classroom tools, messaging features, payment systems, and related services (collectively, the "Platform"), including https://www.edudable.com and any successor domains.
PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE PLATFORM. BY CREATING AN ACCOUNT, BOOKING A LESSON, LISTING YOURSELF AS A TUTOR, OR OTHERWISE USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, YOU MUST NOT USE THE PLATFORM.
If you use the Platform on behalf of a minor, organisation, or other third party, you represent that you have authority to bind that party to these Terms, and references to "you" include that party.
These Terms apply in addition to any policies, notices, or in-product disclosures shown at the point of booking, checkout, tutor onboarding, or account registration. Where there is a conflict between a short in-product summary and these Terms, these Terms prevail unless we expressly state otherwise in writing.
1. Agreement, Contracting Party & Scope
The Platform is operated primarily for users in Hong Kong. Edudable provides an online marketplace that facilitates connections between students seeking tutoring and independent tutors who offer educational services.
Edudable is not a school, university, examination authority, employment agency, or guarantor of academic outcomes. Tutors listed on the Platform are independent service providers and are not employees, agents, partners, or joint venturers of Edudable unless expressly stated in a separate written agreement.
Your contractual relationship for the actual tutoring service is primarily between the student (or their parent/guardian) and the tutor. Edudable's role is to provide technology, booking, payment facilitation, support tooling, and related platform services subject to these Terms.
2. Definitions
- "Account" means a registered student, tutor, or admin profile on the Platform.
- "Booking" means a scheduled lesson reservation created through the Platform.
- "Classroom" means the live online session environment provided or integrated by Edudable for conducting lessons.
- "Credits" means the Platform wallet balance denominated in Hong Kong Dollars (HKD), where one (1) credit equals one (1) HKD of purchasing power on the Platform, subject to these Terms.
- "Lesson" means a scheduled tutoring session between a student and tutor, including trial and regular lessons.
- "Locked Credits" means Credits reserved for a specific booked Lesson until completion, cancellation, or other settlement under these Terms.
- "Regular Lesson" means a non-trial Lesson booked after an initial trial or as part of ongoing tutoring.
- "Trial Lesson" means the first lesson between a given student and tutor on the Platform, or any lesson explicitly designated as a trial at booking.
- "Tutor Payout" means amounts payable to a tutor for completed Lessons, calculated under Section 9 and subject to Edudable's payout schedule.
- "User Content" means profiles, messages, reviews, feedback, photos, videos, documents, and other material you submit to the Platform.
3. Eligibility & Account Registration
You must be at least 18 years old to create an Account, or the age of legal majority in your jurisdiction if higher. Students under 18 may use the Platform only with involvement and consent of a parent or legal guardian, who accepts these Terms on the minor's behalf.
You agree to provide accurate, current, and complete registration information and to keep your Account details up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your Account.
We may refuse, suspend, or terminate registration at our sole discretion, including where we suspect fraud, impersonation, policy violations, or risk to Platform integrity.
- One person may not maintain multiple Accounts to evade policies, fees, or restrictions.
- Tutor Accounts are subject to review and approval. We may approve, reject, suspend, or remove tutor listings at any time without obligation to provide reasons.
- You must not share your Account or allow others to access the Classroom or dashboard on your behalf except as reasonably necessary for parental supervision.
4. Platform Services & Availability
We strive to keep the Platform available, but we do not guarantee uninterrupted, error-free, or secure operation. Maintenance, updates, third-party outages, internet disruptions, or force majeure events may affect access.
Features may change, be added, or be removed at any time. Beta or experimental features are provided "as is" and may be discontinued without notice.
Edudable may monitor usage, session metadata, attendance signals, messages where permitted by law and our Privacy Policy, and other Platform activity to operate, secure, and improve the service and to enforce these Terms.
5. Student Bookings & Lesson Terms
Students may browse tutor profiles, view published pricing and availability, and book Lessons through the Platform. By completing a Booking, you authorise Edudable to lock or charge Credits and/or process payment as displayed at checkout.
Lesson times are shown in the timezone you select or that is associated with your Account. You are responsible for attending at the correct local time.
- Each booked Lesson is a fifty (50) minute session. The price shown at checkout is the tutor's published rate for one full Lesson.
- Follow-on Lessons with the same tutor generally use the same subject as your first Lesson with that tutor unless the Platform allows a change.
- You must not book Lessons for unlawful purposes, to harass tutors, to circumvent Platform fees, or to solicit off-platform payments.
- Bookings are personal to your Account and may not be transferred, resold, or assigned without our written consent.
6. Pricing, Payments & Credits
All prices on the Platform are quoted in Hong Kong Dollars (HKD) unless we expressly state otherwise. Tutors set their own published lesson rates within Platform rules.
Payments are processed through third-party payment processors (such as Stripe). By paying, you also agree to the applicable processor's terms. Edudable does not store full payment card numbers on its servers.
When you book a Lesson, the applicable amount may be charged immediately and/or converted into Locked Credits for that Lesson. Available Credits are applied automatically at checkout before card charges, as shown on the payment screen.
6.1 Credits system
Credits are a Platform bookkeeping unit tied to HKD value for use on Edudable. Credits are not legal tender, e-money, or a deposit account, and have no cash value outside the Platform except where we expressly offer a refund or withdrawal in our sole discretion.
- Top-ups, promotional awards, referral rewards, and cancellation unlocks may increase Available Credits.
- Booking a Lesson locks the required Credits until the Lesson is completed, cancelled under these Terms, or otherwise settled.
- Locked Credits cannot be used for other Bookings until released.
- We may adjust, expire, or claw back Credits obtained through error, fraud, or abuse.
6.2 Taxes & fees
Displayed prices may exclude taxes, duties, or third-party processing costs unless stated. You are responsible for any applicable taxes associated with your use of the Platform, except where Edudable is legally required to collect and remit them.
7. Cancellation, Reschedule & Late Cancellation
Cancellation and reschedule rules are designed to balance fairness between students and tutors. Specific deadlines are shown at booking and in your dashboard.
7.1 Free cancellation and reschedule window
Until twenty (20) hours before the scheduled start time (the "Free Change Window"), students and tutors may change upcoming Lessons without triggering late-cancellation charges, using the tools in My Lessons or the tutor dashboard.
The exact cutoff time for each Lesson is shown at checkout and in your dashboard. Edudable measures the twenty-hour rule against the Lesson's scheduled start time in the Platform's records.
- Students: you may reschedule to a new available slot with the same tutor. Locked Credits remain reserved for the Lesson and apply to the rescheduled booking.
- Tutors: if more than twenty (20) hours remain, you may request a reschedule. The student is notified and must choose a new time. The Lesson stays active until a new time is confirmed.
- Tutors: if you cancel a Lesson, it is marked cancelled, the student is notified, and any Locked Credits for that Lesson are released back to the student's Available balance.
- Cancellations or reschedules are logged on the Platform. Abuse of the Free Change Window (for example, repeated last-minute changes just outside the cutoff) may lead to account review.
7.2 Late cancellation (within 20 hours)
When fewer than twenty (20) hours remain before the scheduled start, ordinary student rescheduling is not available. Students who need to cancel or change the time must submit a late cancellation request from My Lessons.
A late cancellation request requires a reason, may include an optional explanation, and is delivered to the tutor through Messages and email. Only one active request may exist per Lesson.
- If the tutor accepts, you may pick a new time from My Lessons. The Lesson returns to a schedulable state and Locked Credits stay reserved for the rebooked Lesson.
- If the tutor declines, the original Lesson time remains booked. You may still be charged after the scheduled end time if you do not attend, under Section 9.
- While a late cancellation request is pending, you should monitor Messages for the tutor's response. Edudable does not guarantee acceptance.
- If a late cancellation request is rejected, automated settlement after the Lesson's scheduled end time may consume Locked Credits and record tutor earnings as if the Lesson were completed or a student no-show, unless Edudable determines otherwise.
- Tutors cannot use the student late-cancellation flow. Within twenty (20) hours of start, a tutor may only cancel the Lesson outright (not request reschedule). That cancellation releases the student's Locked Credits.
7.3 Tutor-initiated changes
Tutors initiate changes from the tutor dashboard by choosing a reason and optional message. Students receive in-app notifications and email.
More than twenty (20) hours before start, a tutor reschedule request moves the Lesson back to a pending state until the student selects a new time from My Lessons.
- Within twenty (20) hours before start, a tutor may only cancel (not reschedule). The Lesson is cancelled immediately and Locked Credits are returned to the student.
- After a tutor cancellation, the student may book a new Lesson separately if they wish to continue. Edudable does not automatically rebook.
- Frequent tutor cancellations or reschedule requests may reduce profile visibility, delay confirmations, or lead to suspension at Edudable's sole discretion.
- If a tutor accepts a student's late cancellation request, the student—not the tutor—chooses the replacement time, subject to the tutor's published availability.
8. Conducting Lessons & Classroom Rules
Lessons are delivered through the Edudable Classroom or integrated video tools. You must use a compatible device, stable internet connection, and appropriate environment for learning.
The tutor controls starting and ending the Classroom session timer. A Lesson is treated as "started" when the tutor starts the session in the Classroom.
- Users must behave professionally, respectfully, and lawfully. Harassment, hate speech, sexual content, violence, cheating facilitation, or recording without consent is prohibited.
- You must not attempt to bypass the Platform to pay, book, or communicate for Lessons outside Edudable in order to avoid fees or policies.
- Edudable may record metadata about attendance, join times, waiting-room presence, session duration, and end-of-lesson actions to administer Credits and payouts.
- Ending a Lesson in the Classroom is irreversible for that session and triggers settlement processes described below.
9. Lesson Completion, Attendance & Failed Lessons
After a Lesson's scheduled end time, or when ended early in the Classroom, Edudable applies automated and manual rules to determine whether the Lesson was completed, incomplete, cancelled, or a no-show. These rules affect Credits and tutor earnings.
9.1 Completed Lessons
A Lesson counts as completed when the tutor starts the Classroom session and the live session runs for at least forty (40) minutes before the tutor ends the Lesson. The fifty (50) minute booking slot includes time for setup and wrap-up; the forty-minute rule measures actual started teaching time.
When a Lesson is completed, Edudable sets the Lesson status to completed, consumes Locked Credits once (if not already consumed), and records tutor earnings using the commission rules in Section 13.
- Only the tutor may start or end the Classroom timer. Ending a Lesson is permanent for that session and triggers settlement.
- If both parties attended but the session ended below the forty-minute threshold, the Lesson is not treated as completed under this section and may fall under Section 9.5 instead.
- Completed Lessons are not refundable except where Edudable expressly approves a billing adjustment in its sole discretion or where applicable law requires otherwise.
9.2 Tutor no-show
If the scheduled end time passes and the tutor never entered the Classroom (and had no qualifying waiting-room presence), but the student did attend or had qualifying waiting-room presence, Edudable classifies the Lesson as a tutor no-show.
Presence is evaluated using Classroom join timestamps and waiting-room activity during a window from fifteen (15) minutes before the scheduled start through the scheduled end.
- Locked Credits are released back to the student's Available balance.
- No tutor payout is made for that Lesson.
- The Lesson status is set to no_show. The student may book again with the same or a different tutor.
- Repeated tutor no-shows may trigger warnings, ranking penalties, suspension, or removal from the Platform.
9.3 Student no-show
If the scheduled end time passes and the student never entered the Classroom (and had no qualifying waiting-room presence), but the tutor did attend or start the session, Edudable classifies the Lesson as a student no-show.
This includes cases where a student submitted a late cancellation request that the tutor rejected and the student did not attend the originally scheduled Lesson.
- Locked Credits are consumed in full for the booked Lesson price.
- The tutor may receive payout as if the Lesson were completed, subject to commission rules in Section 13.
- The Lesson status is set to no_show. Refunds are not guaranteed.
- Students are responsible for joining on time with a working device, browser, camera, and microphone.
9.4 Both parties absent
If neither the student nor the tutor is detected as present after the scheduled end time, Edudable classifies the Lesson as a mutual no-show.
Automated settlement typically runs after the Lesson's scheduled end time. Lessons with a pending late cancellation request wait until that request is resolved before final settlement.
- Locked Credits are released back to the student's Available balance.
- No tutor payout is made.
- The Lesson status is set to no_show unless Edudable's review finds evidence that one party attempted to attend.
9.5 Incomplete or disputed sessions
A Lesson may be marked incomplete when the Classroom was started but the session ended before meeting the forty-minute completion threshold, when technical issues prevent a fair outcome, or when attendance signals conflict.
Incomplete Lessons may keep Locked Credits held (not consumed and not released) while Edudable or an administrator reviews the case. Admins are notified automatically for certain incomplete outcomes.
- During review, neither party should assume that Credits are refunded or that payout is earned until Edudable issues a determination.
- After review, Edudable may release Credits to the student, consume Credits, award partial tutor payout, or take account action. That determination is final except where applicable law requires otherwise.
- You agree to respond promptly to support requests and provide accurate information about connectivity, device issues, and Classroom behaviour.
- Edudable may also reclassify a Lesson after review if new logs or user reports become available, acting in good faith within these Terms.
10. Refunds, Chargebacks & Billing Disputes
Except where required by applicable law or expressly stated at checkout, all payments and consumed Credits for completed Lessons or student no-shows are final and non-refundable.
If you believe a charge or Credit deduction is incorrect, you must contact support promptly with details. Edudable may, but is not obligated to, issue Credits, partial refunds, or adjustments at its sole discretion.
- Initiating a chargeback or payment dispute without first contacting us may result in Account suspension and recovery of associated costs.
- Promotional Credits, referral bonuses, and goodwill adjustments may be subject to separate expiry or usage rules.
- Refund requests based on dissatisfaction with teaching style, unless there is a clear Platform or policy breach, are generally handled as a matter between student and tutor and are not guaranteed by Edudable.
11. Recurring Lessons & Auto-Renewal
The Platform may offer recurring bookings or subscription-style schedules with the same tutor. Where auto-renewal applies, you authorise Edudable to book and charge (or lock Credits for) future Lessons according to the schedule you confirm.
You may cancel future renewals from your dashboard subject to the Free Change Window and any specific renewal terms shown at enrolment.
- Failure to maintain sufficient Credits or valid payment may result in missed renewals or cancellation of future Lessons.
- We may change renewal mechanics with notice where practicable.
12. Tutor Terms, Profiles & Independent Status
Tutors are solely responsible for the accuracy of their profiles, qualifications, experience claims, pricing, availability, and the quality and legality of their teaching services.
By becoming a tutor, you represent that you have the right to offer the subjects you list and that your content does not infringe third-party rights.
- You must keep availability reasonably accurate and honour confirmed Bookings.
- You must complete tutor onboarding steps, including acceptance of commission terms, before receiving payouts.
- You are responsible for your own taxes, licences, and regulatory compliance as an independent service provider.
- Edudable may feature, delist, or moderate tutor profiles for quality, safety, or business reasons.
13. Commission, Platform Fees & Tutor Payouts
Edudable charges a commission on completed Lessons by retaining a portion of the student payment. Commission is calculated as a percentage of the gross lesson charge (what the student paid for that Lesson) before payment processing costs are allocated.
Commission rates may differ for Trial Lessons and Regular Lessons, and may change over time. The rates in effect at the time of Lesson completion apply unless otherwise stated in a written tutor agreement.
13.1 Trial Lesson commission
For the first Trial Lesson between a given student and tutor on the Platform, the tutor's share is currently fifty percent (50%) of the gross lesson charge, and Edudable retains the remainder as platform commission (subject to payment processing allocations).
13.2 Regular Lesson commission tiers (hours taught)
For completed non-trial Lessons, the tutor's share increases with total completed teaching hours on Edudable, currently as follows:
- 0–20 hours: tutor receives 70% of gross
- 20–50 hours: tutor receives 75% of gross
- 50–200 hours: tutor receives 80% of gross
- 200+ hours: tutor receives 85% of gross
13.3 Referral tier bonuses
Tutors participating in the referral program may earn stacked commission bonuses based on successful referrals, currently up to an additional ten percent (10%) combined (+3% at Silver, +3% at Gold, +4% at Diamond), subject to program thresholds.
- The maximum total tutor share from hours and referral bonuses combined is currently ninety-five percent (95%) of gross.
- Referral cash rewards (e.g. HK$50 per qualifying referral) are separate from per-lesson commission and may be paid on the scheduled payout cycle.
13.4 Payment processing
Third-party payment processing fees are borne by the platform from Edudable's share and are not deducted from the tutor's agreed percentage of gross, unless we notify you otherwise in writing.
13.5 Payout schedule
Tutor Payouts for completed Lessons are aggregated and paid on a recurring schedule (currently monthly on or around the 7th day of the month for the prior period), via the payout method you provide. We may withhold payouts during investigations, disputes, or suspected fraud.
- Minimum payout thresholds, identity verification, and tax documentation may apply.
- Edudable may offset negative balances, chargebacks, or policy penalties against future payouts.
14. Referral Programs
Edudable may offer referral programs for students and tutors. Program rules, qualifying actions, reward amounts, and tier benefits are described in-product and may change at any time.
Referral rewards are not guaranteed, may be reversed if obtained through self-referral, fake accounts, or abuse, and are paid only after Edudable confirms a qualifying completion event.
- Sharing referral links must comply with applicable marketing and spam laws.
- We may modify or terminate referral programs without liability.
15. Reviews, Ratings, Feedback & Reports
After Lessons, users may be invited to leave reviews, ratings, or structured feedback. You agree that feedback must be honest, relevant, and free of defamatory or discriminatory content.
Edudable may display, summarise, moderate, or remove reviews at its discretion. We are not obligated to publish any review.
Users may report safety concerns, misconduct, or policy violations. Edudable may investigate reports and take action including warnings, Lesson adjustments, Credit reversals, or Account termination. Our decision following investigation is final to the fullest extent permitted by law.
16. Prohibited Conduct
You must not use the Platform to:
- Violate any applicable law or regulation in Hong Kong or your jurisdiction.
- Impersonate any person or misrepresent qualifications or affiliation.
- Harass, threaten, exploit, or endanger others, especially minors.
- Upload malware, scrape data, reverse engineer, or interfere with Platform security.
- Circumvent fees, Credits, or booking flows; solicit off-platform payments for Lessons introduced through Edudable.
- Post infringing, obscene, or unlawful User Content.
- Use bots or automated means except as we expressly permit.
- Engage in academic dishonesty services where prohibited (e.g. completing graded work on a student's behalf when not permitted).
17. User Content & Intellectual Property
You retain ownership of User Content you submit, but grant Edudable a worldwide, non-exclusive, royalty-free licence to host, use, reproduce, adapt, publish, and display that content for operating, marketing, and improving the Platform.
Edudable names, logos, software, and design elements are our intellectual property. You may not use them without written permission.
If you believe content on the Platform infringes your rights, contact us with sufficient detail for us to evaluate the claim.
18. Third-Party Services
The Platform integrates third-party services including payment processors, video infrastructure, email providers, and analytics. Your use of those services may be subject to their separate terms and privacy policies.
Edudable is not responsible for third-party outages, acts, or omissions except to the extent required by applicable law.
19. Disclaimers
THE PLATFORM AND ALL LESSONS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
EDUDABLE DOES NOT WARRANT THAT ANY TUTOR WILL ACHIEVE SPECIFIC ACADEMIC RESULTS, EXAM SCORES, OR ADMISSIONS OUTCOMES. TUTORS ARE INDEPENDENT, AND STUDENTS (AND PARENTS/GUARDIANS) ARE RESPONSIBLE FOR EVALUATING SUITABILITY.
WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE CLASSROOM EXPERIENCES OR THAT TECHNICAL ISSUES WILL NOT AFFECT A LESSON.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EDUDABLE AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EDUDABLE'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO EDUDABLE IN PLATFORM FEES (EXCLUDING AMOUNTS PASSED THROUGH TO TUTORS) IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) HKD 500.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
21. Indemnification
You agree to indemnify, defend, and hold harmless Edudable and its affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your User Content; (c) your Lessons or tutoring services; (d) your breach of these Terms; or (e) your violation of any law or third-party rights.
22. Suspension, Termination & Enforcement
We may suspend or terminate your Account, withhold payouts, cancel Bookings, or restrict features immediately if we believe you violated these Terms, pose a risk to users, or if required by law.
Upon termination, provisions that by their nature should survive (including payment obligations, disclaimers, liability limits, indemnities, and dispute terms) will survive.
- You may close your Account by contacting support, subject to settlement of outstanding Lessons and payouts.
- Credits may be forfeited upon termination for cause.
23. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles.
You agree to first contact us at info@edudable.com to attempt informal resolution of any dispute. If unresolved within thirty (30) days, disputes shall be submitted to the exclusive jurisdiction of the courts of Hong Kong, unless mandatory consumer protection laws in your jurisdiction require otherwise.
24. Edudable's Discretionary Authority
YOU ACKNOWLEDGE THAT EDUDABLE OPERATES A COMPLEX MARKETPLACE WITH AUTOMATED AND MANUAL DECISION SYSTEMS. EXCEPT WHERE PROHIBITED BY APPLICABLE LAW, EDUDABLE RETAINS SOLE AND ABSOLUTE DISCRETION TO:
Edudable's good-faith exercise of this discretion is binding on you, and you waive any claim that such discretion was unreasonable except where applicable law provides non-waivable rights.
- Interpret and apply these Terms, including classification of Lessons, attendance outcomes, and eligibility for refunds or payouts.
- Make final determinations on billing disputes, incomplete sessions, late cancellations, no-shows, and user reports.
- Adjust Credits, commissions, referral rewards, or account status in cases of error, abuse, or goodwill.
- Modify Platform features, fees, commission tiers, and policies with effect for future Bookings.
- Reject, remove, or restrict any user or content for any reason or no reason.
25. Changes to Terms, Severability & Contact
We may update these Terms from time to time. Material changes will be posted on the Platform with an updated effective date. Continued use after changes constitutes acceptance unless applicable law requires explicit consent.
If any provision is held invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver.
You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
These Terms, together with the Privacy Policy and in-product policies, constitute the entire agreement between you and Edudable regarding the Platform.
